Product License Policy.
Agreement & acceptance
This policy is a legal agreement between you (an individual or a single organisation) and Vortex IQ Ltd for the Vortex IQ products listed in section 2. By purchasing, downloading, installing or using one of those products you confirm that you have read this policy and agree to be bound by it. If you do not agree, do not install or use the product.
The agreement takes effect as soon as you acquire the product, whether through a marketplace, a direct purchase or a free listing. It sits alongside our Terms of Service, which govern the Vortex IQ platform the product connects to. Where the two differ on a point about the product itself, this policy applies.
Products this policy covers
This policy covers software that Vortex IQ Ltd publishes for installation on, or connection to, a commerce platform, including:
- Adobe Commerce and Magento Open Source extensions, including the Vortex IQ MCP and UCP application listed on the Adobe Commerce Marketplace.
- Shopify and BigCommerce apps listed on those platforms' app stores.
- Connectors, modules and code packages we supply directly to you, with any documentation, sample code and updates.
Together these are the “Products”. The hosted Vortex IQ platform, the AI agent crews and the data they produce are the “Service”, and are governed by the Terms of Service.
What your licence allows
When you acquire a Product you receive a licence entitlement, not ownership. The entitlement is limited, non-exclusive, non-transferable and revocable, and it allows you to:
- Install and use the Product on one production installation of the commerce platform it was acquired for, meaning one store or one multi-store instance running from a single codebase.
- Install copies of the same Product on development, staging and testing environments that serve that production installation, without a further entitlement.
- Make the changes to the Product's configuration and templates that your own installation needs.
- Keep a reasonable number of backup copies for your own use.
A separate entitlement is needed for each additional production installation. Agencies and partners who run Products on behalf of several merchants need one entitlement per merchant installation unless an agency agreement with us says otherwise.
What your licence does not allow
Unless we have agreed it in writing, you may not:
- Give, sell, sub-license, rent, lease, lend or otherwise distribute the Product, or any part of it, to a third party. This includes distribution without charge.
- Publish the Product, or any part of its code, on a public repository, package registry, file share or any other hosting location that allows public access.
- Use any portion of the Product's code in other software, products or websites.
- Remove, hide or alter copyright notices, licence keys, attribution or other proprietary markings.
- Reverse engineer, decompile or disassemble the Product beyond what applicable law expressly permits.
- Use the Product to build a competing product or service, or to probe, scan or test the Service for weaknesses without authorisation.
- Use the Product in breach of any applicable law or of the platform's own rules.
Copyright & intellectual property
The Products, including their source code, compiled code, code segments, designs, documentation and brand, are owned by Vortex IQ Ltd and its licensors and are protected by international copyright, intellectual property laws and treaties. Treat the Product like any other copyrighted material. You are required to preserve our copyright notices in every copy you hold.
Open-source components included with a Product remain under their own licences, which are listed in the Product's package. Nothing in this policy limits your rights under those licences.
Updates, support & compatibility
We release updates to keep Products compatible with supported platform versions, fix defects and add features. Updates are covered by this policy. The platform versions a Product supports are stated on its listing, and we may stop supporting a platform version after it reaches the end of its vendor support. Support for a Product is provided through the Vortex IQ platform and our contact page, on the terms of your plan.
Marketplace terms
When you acquire a Product through the Adobe Commerce Marketplace, the Shopify App Store, the BigCommerce App Marketplace or another marketplace, that marketplace's own terms also apply to the purchase and to your relationship with the marketplace operator. This policy governs your use of the Product itself. If a marketplace term and this policy conflict about the Product, this policy applies to the extent the marketplace terms allow.
Data & connected services
Products connect your store to the Service. The data they send is processed under our Privacy Policy and, for personal data, our Data Processing Agreement. You are responsible for configuring the Product in line with your own obligations to your customers, and for the third-party services you choose to connect through it. The MCP and UCP application exposes store capabilities to AI agents and agentic checkout only as far as you have enabled them, and nothing changes in your store without your approval.
Fees & refunds
Fees for a Product, where there are any, are shown on its listing or in your Order and are billed on the terms set out there. Paid Products bought directly from us include our seven-day full-refund policy. Products bought through a marketplace follow that marketplace's refund process. We are not obliged to refund fees when a licence is revoked for breach of this policy.
Revocation & termination
Without prejudice to any other right, we may revoke your licence entitlement at any time if you fail to comply with this policy, or if we find the entitlement is invalid. If your licence is revoked you must stop using the Product, uninstall it from every environment and destroy all copies in your possession.
Continued use of a Product after revocation is a breach of this agreement. You agree that we may seek an injunction to prevent further use and recover the costs of enforcing the revocation, including reasonable legal fees, together with any damages Vortex IQ Ltd suffers as a result of the misuse. You may end this agreement at any time by uninstalling the Product and destroying your copies.
Warranties & liability
Products are provided “as is” to the extent permitted by law. We do not warrant that a Product will be uninterrupted or error-free, or that it will be compatible with every theme, module or customisation on your installation. Test every Product on a staging environment before putting it into production.
To the maximum extent permitted by law, Vortex IQ Ltd is not liable for indirect or consequential losses, including lost profits, business interruption or loss of information, arising from the use, misuse, unauthorised or unlawful use of a Product, and our total liability is capped at the fees you paid for the Product in the twelve months before the claim. Nothing in this policy limits liability that cannot be excluded under law.
Governing law
This policy is governed by the laws of England & Wales, and the courts of England & Wales have exclusive jurisdiction over any dispute, unless mandatory local law provides otherwise.
Changes
We may make reasonable changes to this policy as the Products, the marketplaces and the law evolve. When we do, we update the date at the top of this page and, for material changes, give notice through the Product listing or the Service. Continued use of a Product after a change takes effect means you accept the updated policy.
